In 2015, a Picasso painting achieved a price of $139 million at Christie's auction. In 2021, a pair of Nike Air Yeezy 1 shoes that were worn by Kanye West when he performed at the Grammy Awards sold for $1.8 million. At Sotheby's, a case of 1945 Romanée-Conti wine was sold for $558,000. These three items are examples of physical assets that have a value that is authenticated and have a verified history of ownership before being sold. However, they are all also very hard to access for anyone except for a select few elite-level collectors with substantial financial resources. Tokenization will allow you to still purchase the Picasso for $139 million but allow for the ability to share ownership with other people who would be able to purchase a share through an app on their phone within five minutes. Here's how it works.<h2>Step One: Authentication and Valuation</h2>There is a process for managing assets (like art or collectible sneakers) on the blockchain that doesn't use the blockchain at all. The first step in managing assets is authenticating them. For artworks, this may mean conducting research into their history and recent condition, and/or obtaining an expert appraisal of value, in addition to conducting an examination of artworks to verify originality. For collectibles, such as rare sneakers, the authentication process involves verifying original materials, condition, and authenticity via third-party verification services. Once an asset has been authenticated, it may be valued by determining what price a willing buyer would be willing to pay for it from a willing seller today. The value that corresponds with the asset will establish the total number of tokens and the price of each token.<h2>Step Two: The Legal Wrapper Gets Built</h2>Due to its nature, a physical asset cannot exist on a blockchain, but instead will remain in a climate-controlled environment specifically designed to protect it from damage or deterioration. What is placed on-chain is a legal obligation to the asset. The issuer of an asset will use a special-purpose vehicle or similar structure to hold the asset. An SPV is an independent legal person who will hold the physical asset on behalf of the investors. Investors will receive tokens representing their ownership interests in the SPV and not in the physical artwork itself. This is an extremely important legal distinction, as it allows for legally binding economic rights by the holder of a token with respect to the value of the underlying asset and its appreciation to be enforced while at the same time protecting the physical asset in the custody of the professional custodian. Using this structure,<a href="https://www.masterworks.com/trading/bulletin" rel="noopener noreferrer" target="_blank"> </a><a href="https://www.masterworks.com/trading/bulletin" rel="noopener noreferrer" target="_blank">Masterworks is among the foremost fractional art platforms</a>. They utilize the SPV structure to hold each artwork through its own limited liability company and sell shares of the LLC (in fractional form as reflected by the token) to accredited investors, who will have the ability to trade these tokenized shares in the secondary market provided by Masterworks. The SPV is the product and the token is how stakeholders receive their stake in that product.<h2>Step Three: Tokens Are Minted and Sold</h2>When an SPV (Special Purpose Vehicle) is created, it creates an allocation of a certain number of tokens that indicate proportional ownership over a piece of art (or other asset). For example, a piece of art valued at $10 million and broken down into $10 million would have 10,000,000 tokens used to represent the total value of the art asset. In this scenario, anyone who buys 1,000 tokens will have a 0.01% ownership in the art asset. To create these tokens, a blockchain is used (most compliance/token generation or exchanges use Ethereum, Polygon is used for lower-cost fractional products). When the token is created, KYC (Know Your Customer) and investor eligibility requirements are encoded into the smart contract of the token. Additionally, transfer restrictions associated with the token, which prevent unauthorized secondary sales that could lead to securities violations, are also encoded into the smart contract of the token. Platforms that trade sneakers and collectibles, such as KICKS, operate in a similar manner. For example, a pair of Air Yeezy 1 sneakers that is appraised at $500,000 will be broken down into 500,000 tokens at $1 per token. Buyers will maintain their ownership position in the asset through the entire period of time of custody of the asset (the sneakers would be stored in professional custody with insurance). The count of the tokens held by the buyer will represent the economic interest in the asset.<h2>Step Four: Secondary Markets and Price Discovery</h2>The concept isn't that of static ownership, rather it's the liquidity advantage experienced versus that of traditional art ownership. According to Masterworks, there was<a href="https://financebuzz.com/masterworks-review" rel="noopener noreferrer" target="_blank"> </a><a href="https://financebuzz.com/masterworks-review" rel="noopener noreferrer" target="_blank">$80 million worth of secondary market trading conducted on their platform alone</a>. Fractional tokens have the ability to trade among investors without the work moving. There is also continuous price discovery occurring through this process unlike traditional art where price discovery occurs just at auction every few years. For example, if you purchased a Banksy print and it sold for $200,000 as a fractional token in 2023, then sold again on a secondary market for $280,000 in 2026, the initial $200,000 purchase would have a 40% gain to all token holders proportionally. Both cards remain in professional storage but the tokens can be traded on Rally's platform creating a market where there was previously none.<h2>Step Five: Exit The Whole Asset Sells</h2>The final exit event happens when the platform or a governance vote decides to sell the underlying asset — typically through auction. Proceeds from the sale are distributed to all token holders proportionally after fees. The tokens are burned and the SPV is dissolved. The risk is real and worth stating plainly. The art market is illiquid, opaque, and subject to taste cycles that can collapse demand for entire categories. A tokenized Basquiat doesn't become safer because it's on-chain. The volatility of the underlying asset is fully inherited by the token. Fractional ownership lowers the entry barrier. It doesn't lower the risk. The Picasso is still a Picasso. The blockchain just removed the velvet rope.

Tokenized art lets investors buy fractions via SPVs. Tokens show ownership, enable trading, track value, and give access to high-value collectibles without moving the physical asset.
